A few words about us:
We are the Matecznik Foundation. Dominik Wojkowski, whose primary task is to organize and conduct sailing cruises for children and adolescents suffering from cancer.
The disease itself can be a catastrophe and a great pain for them and their loved ones, but it is
the worst thing about everyday hospital life is boredom and the schematic nature of life in the ward.
We successfully (despite the fact that we were only two sailors and Polish enthusiasts) conducted several cruises :) on Masurian lakes, in which Children suffering from cancer took part as crew members.
Joy, cheerfulness, carefree antics and a sense of happiness on their faces inspired us to establish a foundation that will take care of sailing for the sick Children: WE CANNOT SAVE THE WORLD, BUT WE CAN RECALL SMILES ON A BUZZO. As our spiritual guide, Fr. Jan Twardowski: (...) the most beautiful smile has the one who has suffered a lot.

CHAPTER I.
GENERAL PROVISIONS
§1
Matecznik Foundation Dominik Wojkowski, hereinafter referred to as the Foundation established by: Marcin Tomasz Jędrzejczak residing in Garwolin at Al. Legionów 44M m. 25, 08 - 400 Garwolin, hereinafter referred to as the Founder, established by a notarial deed before
Notary Public Monika Ciesielska on the seventh of September, two thousand and nineteen (07/09/2019), acts on the basis of the provisions of the Act of April 6, 1984 on foundations (i.e. of December 18, 2015 (Journal of Laws of August 6, 2016, item 40)) and these Articles of Association.
§2
The Foundation has legal personality.
§3
The seat of the Foundation is the city of Garwolin.
§4
The minister responsible is the Minister of Sport and Tourism
§5
1. The area of the Foundation's activity is the territory of the Republic of Poland, and to the extent necessary for the proper implementation of its objectives, the Foundation may operate in the country and abroad of the Republic of Poland.
2. The implementation of the statutory tasks of the Foundation may be carried out in cooperation with other entities.
§6
The Foundation may establish branches.
§7
The Foundation may establish badges and medals of honor and award them, along with other prizes and awards, to natural and legal persons who have contributed to the foundation and the implementation of its statutory goals.
CHAPTER II
OBJECTIVES AND PRINCIPLES OF THE FOUNDATION
§8
The Foundation operates on the basis of the Christian ethos.
The main goal of the Foundation is to organize active recreation, in particular by organizing and conducting sailing cruises for children suffering from cancer, children in convalescence after an illness and for their families in the process of treating cancer and for the families of children who died from cancer. . Participation in all activities of the Foundation must be free of charge for sick children and their families.
§9
The Foundation achieves its goal by:
Organizing assistance (including voluntary assistance) consisting in:
1. Presence of representatives of the Foundation in health care units and hospices providing oncological treatment of children and organizing artistic, workshop and occasional events there, as well as individual cooperation with children and their families, in particular in the field of their cultural development.
2.organization and full implementation of free sailing cruises for children with cancer, their siblings and parents / guardians, also with the help of underage volunteers who have the written consent of their parents / guardians to work in the Foundation and events (cruises, camps, summer camps, trips, etc.) .)
3. creating and constantly expanding the base to achieve the main goal of the Foundation. In particular, creating a yacht base, own permanent and port base, e.g. on the route of the Great Masurian Lakes or in one of the Baltic ports.

In order to achieve its goals, the Foundation may cooperate with state and local government institutions, health care institutions, non-governmental organizations, in particular associations and foundations as well as natural persons conducting activities consistent with the Foundation's goals.
CHAPTER III
PROPERTY AND INCOME OF THE FOUNDATION
§11
The Foundation's assets are the Founding Fund in the amount of PLN 500. (in words: five hundred zlotys) and financial resources, property rights, real estate and movables acquired by the Foundation in the course of its operation.
§12
The Foundation's income comes from:
1.donations, inheritances, bequests,
2.subsidies, subventions, grants,
3.income from collections and public events,
4. income from the Foundation's assets.
§13
1. Income from subsidies, donations, inheritances and bequests may be used for the implementation of the statutory goals of the Foundation only with the respect of the will of the testators or donors.
2. The entire income of the Foundation may be allocated only to the functioning of the Foundation so that its statutory goals can be achieved, in particular free rest for sick children.
§14
If the Foundation is appointed for inheritance, the management board shall submit a declaration of acceptance of the inheritance with the benefit of inventory only if, at the time of submitting this declaration, it is obvious that the active status of the inheritance significantly exceeds the inheritance debts.
CHAPTER IV
FOUNDATION AUTHORITIES
§15
The Foundation's authorities are:
a / Foundation Council,
b / Foundation Board
Members of the Foundation Council do not receive remuneration for participation in the work of this body, however, they may demand reimbursement of incurred and justified expenses related to this activity in the amount not higher than specified in art. 8 point 8 of the Act of March 3, 2000 on Remuneration of Persons Managing Certain Legal Entities (Journal of Laws No. 26, item 306, of 2001, No. 85, item 924 and No. 154, item 1799, of 2002) r. No. 113, item. 984 and of 2003, No. 45, item. 391 and No. 60, item. 535).
The functions of a member of the Foundation's Council and the Foundation's Management Board may not be combined.
FOUNDATION COUNCIL
§16
a / The Foundation Council is the supervisory, opinion-giving and advisory body of the Foundation.
b / The Foundation Council consists of 3 to 9 people, appointed by the Founder for a period of 3 years.
c / A member of the Foundation's Council may only be appointed by persons who have not been convicted by a final judgment for an intentional crime.
§17
The Foundation Council includes:
a / supervising the implementation of the main directions of the Foundation's activities,
b / submitting applications regarding the Foundation's activities,
c / giving opinions on the Foundation's annual and long-term programs of activity,
d / expressing opinions on matters submitted to it by the Management Board,
e / adopting the rules of procedure of the Management Board,
f / establishing the internal organization of the Foundation,
g / examining and approving reports on the activities of the management board and granting a vote of approval.
§18
At its first meeting, the Foundation Council shall elect from among its members the chairman, vice-chairman and secretary of the Foundation Council.
§19
The Foundation Council works at meetings convened by the Chairman of the Foundation Council, at least twice a year. A representative of the Foundation's Management Board participates in these meetings in order to provide explanations.

a / The resolutions of the Foundation Council are passed by a simple majority of votes, however, for these resolutions to be valid, the presence of at least half of its members, including the Chairman or Vice-Chairman, is required.
b / In the event of an equal number of votes cast for or against a given resolution, the Chairman's vote or, in his absence, the Deputy Chairman's vote.
§21
Each member of the Foundation Council has one vote.
§22
1. Persons and representatives of organizations whose activities are consistent with the Foundation's goals may be invited to participate in the meetings of the Foundation's Council.
2. The participation of persons mentioned in point 1 at the meetings of the Supervisory Board is of an advisory nature.
FOUNDATION BOARD
§23
1. The Board of the Foundation, hereinafter referred to as the Board, consists of 2 to 3 people and is appointed for a period of 3 years by the Founder. The founder may be part of the Foundation's Management Board.
2. Membership in the Management Board shall expire upon dismissal or death of a member of the Management Board.
3. Dismissal of a member of the Management Board by the Founder takes place in the case of:
a) resignation,
b) taking up a job the nature of which makes it impossible to properly perform the function of a member of the Management Board,
c) illness, disability or loss of strength resulting in permanent inability to perform the function,
d) failure to perform the duties of a member for a period longer than one year,
e) improper performance of the function of a member,
f) material breach of the provisions of the Articles of Association.
g) conviction with a valid sentence for a crime of intentional guilt.
CHAIRMAN OF THE BOARD
§24
The work of the Management Board is managed by the President appointed by the Founder.
§25
The Management Board manages the Foundation's activities and represents it outside.
The Management Board operates in accordance with the regulations adopted by the Foundation's Council.
§26
Foundation Board:
1. represents it externally,
2.develops annual and long-term work plans,
3.prepares reports on the Foundation's activities,
4. manages its property,
5.accepts subsidies, donations, inheritances and bequests,
6. determines the amount of employment and the amount of funds for remuneration for employees of the Foundation,
7.manages the day-to-day activities of the Foundation, is responsible for the implementation of its statutory goals,
8.Makes decisions on joining other foundations,
9.makes a motion to amend the Articles of Association, merge and liquidate the Foundation,
10. appoints plenipotentiaries to conduct a separate sphere of matters belonging to the Foundation's tasks.
REPRESENTATION
§27
The declaration of will on behalf of the Foundation is made by the President or two members of the Management Board jointly.
§28
The Management Board adopts resolutions by a simple majority of votes, and for the resolutions to be valid, the presence of at least half of its members, including the president or vice-president of the Management Board, is required.
§29
1. Meetings of the Management Board are held as needed, at least once a month.
2. All members of the management board must be informed about the meetings.
§thirty
1. Members of the Management Board may have an employment relationship with the Foundation.
2. The remuneration of the members of the Management Board is determined by the Foundation's Council.
§31
1. The terms and conditions of work and pay for employees of the Foundation's office are determined by the Foundation's Management Board.
2. The remuneration of members and employees of the Foundation's office is paid from the funds received, without prejudice to the financial resources provided by the Founder.
CHAPTER V
CHANGE OF THE STATUTES
§32
Decisions on changing the Statute are made by the Foundation Council at the request of the Management Board.
CHAPTER VI
FINAL PROVISIONS
§33
For the effective realization of its goals, the Foundation may merge with another foundation. The decision to merge is made by the Management Board at the request of the Foundation Council
LIQUIDATION OF THE FOUNDATION
§34
1. The Foundation shall be liquidated when the goals for which it was established are achieved or when its funds and property are exhausted.
2. The decision to liquidate the Foundation is made by the Management Board by way of a unanimous resolution, which must be approved by the Foundation's Council under the pain of nullity.
3. The funds and property remaining after the liquidation of the Foundation may be allocated by resolution of the Foundation Council only to other foundations operating in the territory of the Republic of Poland with similar statutory goals.
